Kimberly Welch specializes in Government Contracts, Licensing and Technology Transactions matters. She represents technology and brick and mortar companies in all aspects of business with Federal, state and local government agencies and prime and subcontractors from proposal through closeout. Ms. Welch assists clients with counseling and negotiation of contracts, grants, cooperative agreements, CRADAs and other forms of direct agreements with government agencies.
She helps clients obtain the maximum benefit while minimizing risk when doing business with the government entities. Ms. Welch has experience working with both civilian agencies (GSA, DHHS, NIH, NASA, DHS, FAA, DOT and others) and defense agencies (DOD, Army, Navy, Air Force, NSA, DARPA) as well as state and local agencies such as the California Department of General Services (DGS), WMATA and Los Angeles County.
Ms. Welch assists clients in establishing relationships with channel partners (systems integrators, resellers, etc.) who do business directly with government agencies and in drafting and negotiating subcontract agreements in support of performance of the company’s own government agreements. She also counsels clients on government contract considerations in mergers, acquisitions, and asset sales involving companies with government contracts as well as novations and change of name agreements. She has negotiated several deals with In-Q-Tel, a venture fund, largely funded by the intelligence community of the U.S. Government.
She has extensive expertise in negotiating multiple award schedule contracts with the General Service Administration (GSA) and the Veteran’s Administration through the Federal Supply Schedules (FSS) program and other indefinite delivery/indefinite quantity/multiple-award contracts for commercial products and services. She also has a specialty practice in negotiation of intellectual property rights under Federal government contracts.
Prior to founding Meridian Law Group, Ms. Welch was a Partner at GCA Law Partners LLP and was an attorney at DLA Piper Rudnick Gray Cary US LLP (and the predecessor firm, Gray Cary Ware & Freidenrich, LLP), K&L Gates (formerly Kirkpatrick & Lockhart) and McKenna, Long & Aldridge (formerly McKenna & Cuneo). Before moving to California in 1997, she worked at the National Academy of Sciences and at the U.S. Chamber of Commerce as a Contracts/Grants Officer for the Center for International Enterprise and in the U.S. Chamber’s General Counsel’s office in Washington, D.C. Ms. Welch moved her practice back to the DC area in June 2009.
Ms. Welch earned her J.D. from the George Mason University School of Law and a B.S. from the University of Southern California. She is a member of the California and District of Columbia bar associations. (Not licensed in Virginia.)
