About Gabriela Smith

Gabriela Smith, partner, is an experienced and dynamic business transactions attorney who assists her clients with complex contractual and regulatory matters that have national and international overtones. Her industry focus includes international businesses, outsourcing, emerging software technologies, artificial intelligence, and international personnel and human resource matters. She often fills in the role of outside General Counsel to emerging companies in the outsourcing, technology and professional services industries, providing general business law counsel and solutions. Gabriela has served as M&A counsel to U.S. and foreign companies in multiple transactions across a broad range of industries, including the digital technology and human resources industries, preparing her clients for acquisitions and accompanying her clients in all facets of an acquisition such as term sheets, letters of intent (LOI), sales and purchase agreements, company sale negotiations, and restructuring.

Known for her technology transactions experience, in 2017, Gabriela was the general counsel for the seller in the largest software product acquisition in Latin America with the acquisition of Grupo Synthesis by Linx S.A. (BVMF: LINX3). Originally from Argentina and a bilingual attorney (English and Spanish), Gabriela enjoys working dynamically with clients from across the globe and enjoys and appreciates cultures and global business environments.

Gabriela routinely represents top-tier companies that provide services to tech giants and has negotiated Master Service Agreements on behalf of her clients with several top-ranking U.S. tech giants. In this role, Gabriela has negotiated millions of dollars in Master Service Agreements related to consumer software used by Americans in their everyday lives, achieving excellent results for her service provider clients.

Gabriela started her career at Stradley Ronon Stevens & Young LLP (Philadelphia, Washington DC, NY, Delaware, Chicago) as a corporate litigation associate where she represented public and private companies in state and federal court, including in multidistrict litigation, and became a founding member of Stradley’s international transactions team. During her tenure at Stradley, Gabriela assisted in founding the firm’s Spain and Latin America Practice Group, which was dedicated to serving clients involved in the U.S. and Latin America.

A leader within the Texas Bar, Gabriela is Past Chair of the International Law Section of the Texas Bar, where she oversaw and led over 700 lawyers across Texas and the United States. Gabriela earned a J.D., summa cum laude, from Widener University School of Law, and Bachelor of Arts, summa cum laude, in Political Science from California State University-Bakersfield. In 2018, 2019, and 2020, Gabriela was selected by her peers as a “Rising Star,” a Thomson Reuters service, in the area of International Law in the State of Texas.
